This isn&rsquo;t just a role for pushing paper - we are looking for someone who can be strategic and add value to the contract negotiation and management process. Someone who has worked in the legal field who can interpret and contribute to complex contracts providing insights and expertise on contract language, terms and conditions, implementation processes and risk. Responsibilities: <p><strong>What our new Contracts Manager will do:</strong></p> <p><strong><em>Manage new contracts.</em></strong>&nbsp;You will oversee all legal contracts within Array. You will actively engage with stakeholders and business owners to assess contracts and follow up on implementation to ensure accurate execution. You will identify areas of improvement and implement and recommend changes to improve contracts and the contract process. Maintain all documents and contracts in the contract management software (Dolphin). Track all stages of the contracts calendar, ensuring deadlines and renewals are followed-up on and implemented. Collect all contract related documents and correspondence and ensure they complete and accurate.</p> <p><em><strong>Review, edit and assess.</strong></em>&nbsp;You will provide basic legal drafting including the preparation of proposal letters, termination agreementsparticipateand completion of contracts. Ensure compliance with appropriate laws, regulations and corporate policies by analyzing contract requirements, special provisions, terms and conditions. Provide your input into Service Agreements.</p> <p><strong><em>Communicate.&nbsp;</em></strong>Recommend what needs to be added, amended and edited to contracts based on legal requirements and needs of all stakeholders. Advise all parties on contract adherence and compliance expectations. Train other divisions on how to use the contract management software and keep them engaged with the new system.</p> <p><strong><em>Create.</em></strong>&nbsp;Draft legal contracts as requests come in from all business units and external sources. Proofread and edit all documents and correspondence. Maintain, publish and curate the actively intranet sites for the HR, Finance and IT teams. Prepare correspondence, memoranda, reports, forms and other documents as needed. Create and establish standard tools and documents for business contracts and documents to better manage the contract cycle.</p> <p><strong><em>Collaborate.&nbsp;</em></strong>Work with various business units and stakeholders to ensure all requirements and needs are articulated in the contracts. Collaborate with internal and external teams to ensure that contracts are completed on time and renewals are fully executed. From time to time you will support the Corporate Secretary office by providing administrative support.</p>
Requirements: <p><strong>Our new Contracts Manager will have:</strong></p> <p><em><strong>The Education.</strong></em>&nbsp;A post-secondary degree or diploma with a focus in Law Admin, Paralegal or related field.</p> <p><em><strong>The Experience.</strong></em>&nbsp;You have general corporate secretarial and corporate law experience, including familiarity with the CBCA, articles, by-laws, understanding common business associations, general mergers and acquisition experience. You have interpreted, analyzed and organized business contracts for large-scale enterprises. You have worked with business owners and executives to assess, amend and implement contracts. &nbsp;You have 3-5 years experience working a law firm as well as a large corporate institution in a contracts document related role.</p> <p><em><strong>The Business Mindset.&nbsp;</strong></em>This is not just an administrative role, you will support and help grow the business by providing insights, advisory and support for all legal documents and contracts. We need someone who is a critical thinker; someone who can think bigger than the contract in front of them and foresee the implications and growth potential in the value of the business opportunity or need.</p> <p><em><strong>The Technical Skills.</strong></em>&nbsp;Experience with a contract management software is required. Proficiency in Microsoft Office Suite and Outlook is a must have.</p> <p><em><strong>The Communication.</strong></em>&nbsp;You have impeccable written and oral communication skills.
