Competitive Total Compensation Package

Overview: We are looking for a highly qualified individual to join our corporate law practice group to handle a variety of corporate business matters, including ensuring legal conformity&nbsp;and minimizing probability of exposure.
Responsibilities: <ul> <li>Legal evaluation, coordination, management and execution of corporate transactions, including mergers, acquisitions, divestitures and strategic investments</li> <li>Draft and negotiate a variety of contracts and legal documents</li> <li>Give accurate and timely counsel to business areas on a variety of legal topics, including drafting well-reasoned legal opinions</li> <li>Evaluate and advise on contract status, legal risks and legal liabilities associated with different deals</li> <li>Communicate and negotiate with internal and external parties, creating relations of trust</li> <li>Handle complex matters with multiple stakeholders and competing forces</li> <li>Accomplish desired results for a single legal matter or for significant phases of larger, complex matters</li> </ul>
Requirements: <ul> <li>Juris Doctor and a member in good standing with the Michigan State Bar</li> <li>7-10 years of strong corporate transactional work, including mergers &amp; acquisitions experience in negotiating transaction documents and handling due diligence activities in M&amp;A transactions as well as experience in drafting and negotiating other complex commercial transaction documents</li> <li>Outstanding interpersonal, organizational, and presentation skills, along with the ability to communicate effectively with others at all levels of the organization</li> <li>Ability to read, analyze, interpret federal and state statutes, general business and insurance statutes and regulations</li> <li>Strong negotiating skills with both legal and business issues</li> <li>Ability to establish and maintain strong relationships within the legal department and across all business areas</li> <li>Must conduct work with integrity and responsibility</li> <li>Familiarity with Michigan Insurance Code a plus</li> </ul> <em>All qualified applicants will receive consideration for employment without regard to, among other grounds, race, color, religion, sex, national origin, sexual orientation, age, gender identity, protected veteran status or status as an individual with a disability</em>
