Overview: The Chief Accounting Officer(CAO)/Controller will lead a team of eight responsible for oversight of all finance, accounting and reporting activities and as well as day to day finance and accounting operations. The CAO/Controller will partner with the senior management team at the Holding Company and Verticals to explore how the finance function can support program operations. The CAO/Controller will report directly to the Chief Accounting Officer.&nbsp;
Responsibilities: Specific responsibilities will include:<br /> <ul> <li>Manage the Consolidated Monthly Close and Internal Reporting activities.</li> <li>Manage the public reporting process, including the preparation of the 10Q and 10K and certain proxy information.</li> <li>Oversee the final migration of all corporate accounting processes.</li> <li>Assist in the evaluation, duediligence, execution and integration of acquisitions.</li> <li>Standardize and document corporate finance processes and workflows.</li> <li>Manage the relationship with the company's external auditors.</li> <li>Ensure all results are prepared in accordance with GAAP. Provide oversight into technical accounting issues, including the adoption of new standards and guidance for all significant transactions.</li> <li>Mentor Vertical Controllers on accounting processes and treatments with an eye towards companywide uniformity.</li> <li>Consistently analyze financial data and present financial reports in an accurate and timely manner; clearly communicate monthly, quarterly, and annual financial statements; monitor progress and changes and keep senior leadership abreast of the Company's financial status.</li> <li>Support the CFO in engaging the board's audit and finance committees around issues and trends in financial operating models and delivery.</li> <li>Support the CFO in ad hoc requests for investor presentations or communications.</li> <li>Work closely with Internal Audit and Senior Management to identify and respond to significant risks, including the preparation of an annual enterprise risk assessment.</li> <li>Oversee annual SOX program to ensure compliance and maintain a worldclass control environment.</li> <li>Ensure the books and records of the Corporation are adequately maintained. Provide oversight to corporate activities, including cash disbursements, payroll, fixed asset records, and general accounting.</li> <li>Provide oversight of the Holdco annual budget and perform monthly analysis of results.</li> <li>Determine the proper allocation of Holdco resources.</li> <li>Leverage strengths of the current finance and accounting team members, help to clarify roles and responsibilities and develop and implement training programs in order to maximize and reach optimal individual and organizational goals.</li> </ul>
Requirements: Key skills and Attributes<br /> <ul> <li>Public company experience</li> <li>Extensive experience of external reporting&nbsp;SEC filings such as 10K, 10Q, 8K, S1 etc</li> <li>Exposure to investor relations and understanding of investor need beyond just technical reporting</li> <li>Demonstrated ability to solve complex technical accounting issues</li> <li>Accounting policy implementation and adapting to changes in US GAAP</li> <li>Experience of answering and resolving SEC comments</li> <li>Managed relationships with external auditors</li> <li>Knowledge of consolidations and key consolidation principals</li> <li>Domestic and International experience</li> <li>Solid understanding of the tax provision process and exposure to other tax matters</li> <li>Significant SOX experience and demonstrated evidence of improving or maintaining a high quality control environment</li> <li>Understanding and previous ownership of the monthly close process</li> <li>A focus on technology for process improvement around the financial statement close process</li> <li>ERP implementation experience</li> <li>Previous experience of reporting to the Board of Directors if a public company</li> </ul> Requirements<br /> <ul> <li>Experience as Assistant Corporate Controller or Corporate Controller of public company.</li> <li>Experience in gathering, evaluating, presenting and reporting financial information to executive teams and external stakeholders.</li> <li>Ability to translate complex financial concepts to individuals at all level including finance and non-finance managers.</li> <li>Proactive, hands-on strategic thinker who will own, in partnership with the CAO, the responsibility for finance.</li> <li>Big Four experience, CPA and/or MBA are pluses.</li> </ul>
