Responsibilities: <span style="font-size: 10pt; font-family: verdana, geneva;"><strong>The individual in this hybrid-flexible role can be based in Wyomissing, PA, Philadelphia, PA, or the Toronto, Canada area.</strong><br /></span><br /> <ul style="margin-top: 0in;"> <li><span style="font-size: 10pt; font-family: verdana, geneva;">Drafting, negotiating, executing and managing a broad range of complex commercial agreements involving corporate, property and online matters. This includes but is not limited to PENN&rsquo;s retail casino properties and our online sports betting and iGaming products under the ESPN BET, theScore Bet and Hollywood Casino brands.&nbsp;</span></li> <li><span style="font-size: 10pt; font-family: verdana, geneva;">Assists with mergers, acquisitions, development projects and other strategic transactions.</span></li> <li><span style="font-size: 10pt; font-family: verdana, geneva;">Assists in public company compliance with federal securities laws and related matters, including but not limited to the preparation of periodic reports, proxy statements and other required filings.&nbsp;</span></li> <li><span style="font-size: 10pt; font-family: verdana, geneva;">Assists with real estate matters, including managing the Company&rsquo;s master leases.</span></li> <li><span style="font-size: 10pt; font-family: verdana, geneva;">Provides practical legal advice and counsel in a timely fashion to internal clients.</span></li> <li><span style="font-size: 10pt; font-family: verdana, geneva;">Assists in evaluating new and managing existing outside counsel. Serves as a liaison between Company and outside counsel, as needed.</span></li> <li><span style="font-size: 10pt; font-family: verdana, geneva;">Prepares, monitors and adheres to budgets and ensures compliance with departmental budget initiatives. Reports budget concerns/deviations in a timely manner and assist with mitigation efforts, as applicable.</span></li> <li><span style="font-size: 10pt; font-family: verdana, geneva;">Assists with preparation of board and committee materials, as required.</span></li> <li><span style="font-size: 10pt; font-family: verdana, geneva;">Enthusiastically supports, actively promotes, and demonstrates superior customer service in accordance with department and company standards and programs.&nbsp; </span></li> <li><span style="font-size: 10pt; font-family: verdana, geneva;">Ensures compliance with all regulatory requirements within areas of responsibility and reports potential issues in a timely manner. </span></li> <li><span style="font-size: 10pt; font-family: verdana, geneva;">This position will report directly to the Company&rsquo;s Deputy General Counsel.</span></li> </ul>

Must be at least 21 years of age.</span> &nbsp;</p> <p style="margin: 0px;">&nbsp;</p> <ul style="margin-top: 0in;"> <li><span style="font-size: 10pt; font-family: verdana, geneva;">Law Degree from accredited college or university required.&nbsp;</span></li> <li><span style="font-size: 10pt; font-family: verdana, geneva;">At least 5 years of significant corporate transactional experience gained in large/major law firm(s) and/or in-house settings.&nbsp; Public company or corporate law department experience is a plus, but not a requirement.&nbsp;&nbsp;</span></li> <li><span style="font-size: 10pt; font-family: verdana, geneva;">Must have experience in commercial transactions, particularly with respect to mergers and acquisitions, joint ventures, partnerships, and real estate development, including negotiating, documenting, executing and managing complex and varied transactions, a broad range of commercial agreements, and financing.&nbsp;</span></li> <li><span style="font-size: 10pt; font-family: verdana, geneva;">Ability to read, analyze and interpret, financial reports and legal documents.&nbsp;</span></li> <li><span style="font-size: 10pt; font-family: verdana, geneva;">Ability to recognize the business consequences of legal advice and administer pragmatic services to internal clients, accordingly.</span></li> <li><span style="font-size: 10pt; font-family: verdana, geneva;">Ability to work independently, identify problems, collect and analyze information, establish facts, and draw conclusions in a fast-paced and dynamic environment.&nbsp;</span></li> <li><span style="font-size: 10pt; font-family: verdana, geneva;">Ability to write memorandums on complex legal issues and draft practical business correspondence.</span></li> <li><span style="font-size: 10pt; font-family: verdana, geneva;">Must have excellent verbal and written communication skills, and the ability to interact with colleagues and resolve problems and conflicts in a diplomatic and tactful manner.</span></li> <li><span style="font-size: 10pt; font-family: verdana, geneva;">Must have the ability to present information and respond to questions from executive management, public groups, regulators, and/or board members. </span>&nbsp;</li> </ul> <p style="margin: 0px;"><strong>LANGUAGE SKILLS</strong><br /><br /></p> <p style="margin: 0px;">Ability to read and interpret documents in English, such as safety rules, operating and maintenance instructions and procedure manuals. Ability to read and communicate verbally in English.
