Atlas Oil remains the largest business, with solutions in oil field services, trucking and transportation, and commercial fueling operations. Over the past three years, the company has developed five technology platforms, invested in three companies out of its first PE fund, (Soaring Pine Capital Growth Fund 1 (&ldquo;SPC Growth Fund 1&rdquo;), closed in </span><strong>2014</strong><span style="font-weight: 400;">, fully invested in </span><strong>2017)</strong><span style="font-weight: 400;">, and completed a number of Real Estate transactions. The company is in the process of raising its second equity fund and 4</span><span style="font-weight: 400;">th</span><span style="font-weight: 400;"> Real Estate Fund. </span><br /><br />We are looking for an experienced, proven and entrepreneurial legal professional, with an executive presence who is as effective in the boardroom as they are navigating complex contracts. This no ego individual will be a trusted advisor to Sam Simon in both business and, occasionally, personal matters.</p> <p>The General Counsel will also oversee the Risk Management Committee and will be responsible for creating accountability and consistency within the organization. This individual will spend approximately half of their time managing large deals with outside counsel, as well as third-party legal representatives. The ideal candidate will have a unique ability to prioritize and follow through on new initiatives. Experience with project management is critical.</p>
Responsibilities: <ul> <li>Provide legal advice and counsel to Sam Simon and SGH leadership</li> <li>Represent SGH with external legal counsel, manage third-party relationships with an eye on delivering value while containing costs</li> <li>Advise on the structuring, negotiation, and closing of a wide variety of transactions within SGH</li> <li>Manage the drafting and creation of all internal and external legal documents such as M&amp;A process documents, non-competes, employment agreements, Captive Insurance, PE Fund Registration, etc. to guarantee compliance with State and Federal requirements</li> <li>Oversee the Risk Management Committee ensuring that regulations and standards are met throughout SGH within the oil and distribution, transaction, as well as IP areas of the business</li> <li>Develop training material and hold regular sessions with leadership to improve understanding and application of antitrust regulations as well as best practices in careful communication</li> <li>Optimize existing and future entity legal structures, agreements and business operating practices to limit liability exposure to a growing list of holdings</li> <li>Develop and maintain a systematized process within the Legal Affairs and Risk Management department</li> <li>Recruit, retain, and develop staff assigned to the Legal Affairs and Risk Management department</li> <li>Lead and hold direct reports accountable.</li> </ul>
Requirements: <ul> <li>10+ years of previous legal experience as a General Counsel or working for an entrepreneurial law firm required</li> <li>Prior experience in directing and coordinating the work of other attorneys.</li> <li>Keen ability to deliver and prioritize based on critical and important deadlines.</li> <li>Ability to balance multiple tasks with competing and changing priorities.</li> <li>Strong oral and writing skills, including the ability to communicate effectively with clients, opposing counsel and others.</li> <li>Experience working with a dynamic, demanding, and highly ambitious Chairman / CEO strongly preferred.</li> <li>Technology savvy with good knowledge of next-generation business systems strongly preferred.&nbsp;</li> </ul> <p><strong>Education / Other:</strong></p> <ul> <li>JD from an accredited law school required.</li> <li>BA required.
