Responsibilities: <strong><u>Primary Duties and Responsibilities (details of the basic job functions):<br /><br /></u></strong> <ul> <li>Assists&nbsp; management and department staff by performing a variety of research, drafting, and support activities relative to corporate governance issues and operations.&nbsp;</li> <li>Plans, prepares, and organizes a variety of documents and materials for board/committee/annual members meetings.&nbsp;</li> <li>Analyzes, interprets, and drafts articles, bylaws, and other governance documents for The Auto Club Group and its affiliated companies.&nbsp;</li> <li>Provides support to ensure that board/committee meeting files and corporate documents (e.g.,minutes, agendas, resolutions and other board documentation) are complete and properly maintained.&nbsp;</li> <li>Develops, reviews, analyzes, and summarizes issues for agenda plans, charters, and meeting planners for enterprise board/committee meetings as well as written and verbal presentation materials for director recruitment, orientation, evaluation, compensation, and conflict of interest statements/reports.&nbsp;</li> <li>Acts as a resource to the department and other team members regarding audit, regulatory, AAA National quality standards and accreditation, and other requests.</li> <li>Creates, executes, analyzes and summarizes output&nbsp; of various reports.&nbsp;</li> <li>Ensures timely and accurate compliance with departmental reporting requirements.&nbsp;</li> <li>Provides support for other corporate and legal matters as necessary.&nbsp;</li> <li>Works with management and other team members to enhance department functions, workflow, collaboration, and efficiencies while ensuring timely and accurate completion of projects and follow-up items.&nbsp;</li> <li>Assists in the identification and implementation of technology-based solutions to automate, improve, and support department functioning and efficiency.</li> </ul> <div><strong><u>Supervisory Responsibilities (briefly describe, if applicable, or indicate None):&nbsp;</u></strong>None</div>
