To support this growth, we are currently looking for an experienced lawyer with an interest and understanding of information technology, SaaS sales agreements, and data privacy requirements on an international scale, to act as our In House Counsel. This is a remote opportunity for someone to take us along our growth trajectory through direct knowledge of scaling a startup and experience in reviewing, negotiating and drafting commercial contracts, master service agreements and software-as-a-service agreements as well as providing advice and guidance on licencing agreements, privacy, GDPR and anti-spam law. Responsibilities: <p dir="ltr"><strong>How you will make an impact every day:</strong></p> <ul dir="ltr"> <li>Expedite agreements. Review, interpret, draft, revise, and negotiate terms in sales and partnership contracts, both domestically and internationally.</li> <li>Manage legal projects. Pivot to handle difficult situations. Anticipate and effectively resolve sensitive legal projects, handling difficult situations diplomatically and independently.</li> <li>Update and maintain contract management system. Complete the revision of master service, non-disclosure, and other standard form agreements. Perform regular internal reviews and ensure compliance of existing legacy contracts key terms, policies and exceptions.</li> <li>Collaborate. Work in close partnership with internal teams, primarily Sales, to drive deal negotiations to successful closure. Provide training sessions to empower the Sales team to draw up initial agreements and negotiate business terms effectively.</li> <li>Enforce the legal process. Protect our intellectual property, limit our liability, assure data privacy and protection, including amendments to existing contracts.</li> </ul>
Requirements: <p dir="ltr"><strong>What you bring</strong></p> <ul dir="ltr"> <li>The experience. You have a license to practice law in Canada. You have 5-8 years of combined experience at an enterprise and startup level with a background in supporting SaaS based organizations.</li> <li>The hands-on expertise. You have a deep understanding of technology agreements and GDPR. Ideally, you have broader corporate law experience. You have expertise negotiating, drafting, and reviewing sales and partnership contracts with particular focus on data privacy, terms, and terminations. You can balance timelines and risks.</li> <li>The knowledge. You have sound and pragmatic business judgment to identify and resolve disputes according to contractual requirements. You have the business acumen to support complex, international technology transactions efficiently. You can provide deep insights both proactively to help us grow and implement processes; and in the moment, pivoting to ensure sales are closed and risks are eliminated.</li> <li>The relationship management skills. You can build strong relationships across internal teams. You have the ability to listen and to guide an internal team through process changes.
